PUBLIC OFFER AGREEMENT
ON ORDERING, PURCHASE AND SALE, DELIVERY OF GOODS
AND PROVISION OF SERVICES
This Agreement is an official and public offer by the Seller (Contractor) to conclude an agreement for the purchase and sale of Goods (original prints, posters, books, art products and merchandise) and/or the provision of Services (sale of tickets to events, lectures, workshops or registration fees for participation in competitions) presented on the official website shop.pictoric.com.ua
This Agreement is public, meaning that, in accordance with Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers regardless of their status (individual, legal entity, individual entrepreneur), without giving preference to one Buyer over another. The Agreement is deemed concluded (accepted) from the moment the Buyer pays for the order on the official website shop.pictoric.com.ua
1. DEFINITIONS
1.1. Seller (Contractor) — the Administration of PICTORIC (PICTORIC Limited Liability Company, which owns the Website and organizes the sale of Goods/Services).
1.2. Buyer (Customer) — any legally capable individual (aged 18 or over), individual entrepreneur or legal entity that has accepted the terms of this Agreement.
1.3. Goods — limited-edition or unique prints, posters, books, exhibition catalogues, clothing, accessories and other merchandise developed by PICTORIC and offered for sale on the Website shop.pictoric.com.ua
1.4. Service — the provision of services in the field of education or culture (lectures, workshops, webinars, consultations, etc.).
1.5. Website — the web page at shop.pictoric.com.ua together with all its subdomains and payment gateways.
2. SUBJECT OF THE AGREEMENT
2.1. The Seller undertakes to transfer the Goods into the ownership of the Buyer or to provide the Service, and the Buyer undertakes to pay for and accept them on the terms of this Agreement.
2.2. Goods and Services are purchased remotely through the Website interface.
3. ORDER PROCEDURE AND ACCEPTANCE
3.1. The Buyer places an order independently through the electronic "Cart" on the Website or by registering for the relevant Service.
3.2. Full and unconditional acceptance of the terms of this Offer is made by the Buyer by paying for the Goods or Service in full.
3.3. When placing an order for Goods and Services, the Buyer undertakes to provide personal details: last name, first name, patronymic, contact phone number, email address and, for Goods, a delivery address (including a postal code for international shipments).
4. PRICE, PAYMENT AND DELIVERY
4.1. Prices for Goods and Services are indicated on the Website in the national currency of Ukraine — the hryvnia (UAH). For international users, prices may be displayed in a foreign currency (USD/EUR) for reference; however, the charge is made in accordance with the rules of the payment system and the issuing bank.
4.2. The cost of delivery is not included in the price of the Goods and is paid by the Buyer separately at the rates of the logistics operators (Nova Poshta, Ukrposhta, DHL, etc.).
4.3. The Seller ensures high-quality packaging of the Goods (in sturdy cardboard boxes or protective tubes). The risk of accidental damage to or destruction of the Goods passes to the Buyer from the moment the Seller hands the Goods over to the first carrier (delivery service). The Buyer submits all claims regarding damage to the goods during transportation to the delivery service.
5. INTELLECTUAL PROPERTY AND COPYRIGHT
5.1. All intellectual property rights to the posters, prints, designs, images and texts posted on the Website belong to PICTORIC.
5.2. The purchase of Goods (including a limited-edition or original print) does not transfer to the Buyer the copyright to the image itself.
5.3. The Buyer may use the Goods solely for personal, non-commercial purposes (interior decoration, private collection).
5.4. The Buyer is strictly prohibited from reproducing, copying, digitizing, selling digital copies of or using purchased PICTORIC images in commercial projects, advertising or as elements of their own designs without a separate written license agreement with PICTORIC.
6. RETURN OF GOODS AND CANCELLATION OF SERVICES
6.1. In accordance with the Law of Ukraine "On Consumer Rights Protection", the Buyer has the right to return the Goods within 14 days if they have not been used and their original condition has been preserved.
Exception: printed products (books, periodicals, catalogues), as well as Goods made to individual order (for example, a print in a specific custom size), are not subject to return or exchange (in accordance with Resolution of the Cabinet of Ministers of Ukraine No. 172).
7. RIGHTS AND OBLIGATIONS OF THE PARTIES
7.1. The Seller shall:
• Deliver Goods or provide Services of proper quality.
• Not disclose the Buyer's personal data to third parties, except delivery services.
7.2. The Buyer shall:
• Pay for the order on time and check the integrity of the Goods directly at the delivery service branch.
• Respect and not infringe PICTORIC's copyright.
8. LIABILITY AND FORCE MAJEURE
8.1. The Parties are liable for non-fulfillment of their obligations in accordance with the legislation of Ukraine.
8.2. The Parties are released from liability for partial or complete non-fulfillment of their obligations under this Agreement if it is caused by force majeure circumstances: military action, acts of terrorism, prolonged power/internet outages, natural disasters, etc.
